General Terms and Conditions

MID-TOWNE WORKS, LLC, Terms of Use Agreement The terms of use agreement are important. The Terms of Use Agreement contains the rights and protections of members, employees and owners of Mid-Towne Works, and the rights of other member users and managers. This agreement is made between the following parties you the Member, and Mid-Towne Works, LLC, Authorized Manager. The level and length of this user membership is reflected in this term of use agreement by clicking agree. Please contact us at office@mid-towneworks.com if you have questions regarding this Terms of Use Agreement; here after known as TUA. 1. Acceptance of Terms. The services Mid-Towne Works, LLC (“MTW”) provides to you, the undersigned (including but not limited to use of office / community work space and access to Internet), are subject to the following Terms of Use Agreement (TUA).

Mid-Towne Works reserves the right to update the TUA at any time. Mid-Towne Works will attempt to contact you to notify you of any updates within 30 days of their enactment using the contact information provided in the Membership Agreement. 2. Description of Services. Mid-Towne Works may provide you with access to office space, work stations, Internet access, office equipment, conference space, knowledge resources, and other services as Mid-Towne Works may provide from time to time (collectively, “Services”). The Services at all times are subject to the Terms of Use Agreement (TUA). During the Term of Use, the Member, has access to wifi and space under the TUA, at no time may there be more than two members working in the same private office space. In the event two members share the space both are required to be members of Mid-Towne Works and sign a terms of Use agreement. The cost of the space may be divided between each member by book keeping for Mid-Towne Works. The Terms of Use Agreement may be revised and amended by the Owners of Mid-Towne Works without prior consent or notice to members. If amended, TUA, shall be provided to members at the next available reservation of the member or via email on file for members or non-members engaged in active reservations. Mid-Towne Works, respectfully requests that members pets not be present on site unless there is a service certificate on file with Mid-Towne Works. Members agree and acknowledge that reservations are on a first come, first available space absent a long-term reservation for a specific space. Mid-Towne Works, LLC owners retain legal possession and control of the Space reserved by the member. The Owner’s obligation to provide the space and services to the member is subject to the terms of the Owner’s lease with the Owner’s landlord. This reservation terminates simultaneously with the termination of the Owner’s Master lease or the termination of the operation of the Owner’s master lease or the operation of the Owner Area. As the Owner’s customer, you do not have any rights under the Owner’s lease agreement with its landlord. When the applicable reservation is terminated related to your membership because the term of the reservation has expired or otherwise, your license to occupy the Space is automatically revoked. You agree as the member and user of the space that upon termination of the reservation, you will remove any and all personal property and, in the event, it is not removed at the termination of the reservation, you as a member and user agree that if you fail to remove said personal property it shall be deemed conveyed to the Owner and shall become the property of the Owner of Mid-Towne Works, LLC and may be removed from the Space by the Owner at the Member’s expense. Mid-Towne Works offers the use of Space in an as-is condition, and at all times the services provided are subject to the TUA, and use of Services contained herein, which is applicable to members and non-members with active reservations. All offices operated by Mid-Towne Works is pre-equipped with VOIP lines. All Phones located in the spaces and plugged into the Mid-Towne Works system are the property of Mid-Towne Works and shall not be removed from the space at time of conclusion of any reservation. Mid-Towne Works provides a receptionist Monday-Saturday to assist members with guests, meeting and greeting, message taking, mail services and work related-phone calls. 3. No Unlawful or Prohibited Use. As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any Mid-Towne Works network(s) connected to any Mid-Towne Works server, or interfere with any other party’s use and enjoyment of any Services or Use of Space. You may not attempt to gain unauthorized access to any Services, or accounts, computer systems, networks connected to any Mid-Towne Works member, manager, or to any of the equipment, supplies, furniture, and services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services. You hereby represent and warrant that you have all requisite legal power and authority to enter into and abide by the terms and conditions of this Terms of Use Agreement and no further authorization or approval is necessary. You further represent and warrant that your participation or use of the Services will not conflict with or result in any breach of any license, contract, agreement or other instrument or obligation to which you are a party. 4. Use of Services. Your signature and/or selection indicating agreement to the TUA, confirm that you agree to comply with all of the TUA when reserving, or participating in, or using Mid-Towne Works Space and Services. You further state and agree that you will not: Use the Space or Services in connection with contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited message (commercial or otherwise); Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through Mid-Towne Works Services; Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same; Use any material or information, including images or photographs, which are made available through the Use of Space or Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party; Upload files that contain viruses, Trojan Horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another; Download any file(s) that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner; Restrict or inhibit any other user from using and enjoying the Work Space or Services of Mid-Towne Works; Violate any state law, code of conduct or other guidelines which may be applicable for any particular Service (including but not limited to the membership agreement and terms of use agreement); Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party; Violate any applicable Alabama State laws or regulations; and Create a false identity for the purpose of misleading others. On Sundays, federally observed holidays and on other days during certain hours for which the Building may be closed after normal business hours, access to the Building will be controlled by Mid-Towne Works. The security system will verify any and all persons seeking access to the Building through the use of proper identification to determine if they have rights of access to the building beyond normal business hours. Mid-Towne Works shall in no case be liable for damages wherein admission to the premises has not been granted based upon the absence of the terms of use agreement, or by reason of the failing to properly secure a reservation for such access, or through the failure of the Building to be unlocked and open for access by you, your employees and/or general public. Nothing contained herein shall obligate the Owners of Mid-Towne Works to provide access or to make Mid-Towne Works liable for any act or omission or failure of access which may be provided. No member or user of Mid-Towne Works shall change the locks or install other restrictive access devices absent obtaining prior written Consent of the Owners of Mid-Towne Works. The member/user of Mid-Towne Works shall give prompt notice to the receptionist or the owners of Mid-Towne Works, in writing via email in the event there is an accident involving electrical fixtures, furniture in any of the offices, AC/Heating, copier issues, electronics, Telephone system, television, smart boards, plumbing issues, damage to windows, ceiling tiles, etc. that are or may be known to you the member or a guest of the member. Internet access: Wireless access is provided during the term of the membership selected. Service interruptions, if they occur, will be handled as promptly as possible. Mid-Towne Works is not responsible for any data, business or other losses of intellectual property resulting from internet interruptions. It is the responsibility of the member to protect his/her computers, cell phones, tablets and i-pads from electrical surges, theft, virus or other malicious attack. You, the member, hereby agrees not to share your IP address, or ISP Internet connection with anyone, access the Service Simultaneously through multiple users, or to authorize any other individual or entity to use the Service. Further the member or Mid-Towne User hereby specifically agrees that sharing of the Services of Mid-Towne Works with another prior to that person/individual seeking membership or user status shall constitute fraud and/or theft of services, for which Mid-Towne Works specifically reserves all rights and remedies. A member or user of Mid-Towne Works shall not have at the time of reservation or at any time thereafter any proprietary or ownership rights to a specific IP or physical address or any other address, log-in name, or password that is used to access the Service of Mid-Towne Works. Further you may not assign your log-in name, password or IP address to any other person. YOU hereby agree not to use the Services, any Mid-Towne Works Network, server, or related network or website for any fraudulent, unlawful, harassing or abusive purpose, or so as to damage or cause risk to Mid-Towne Works, business, reputation, employees, Subscribers, facilities, or to any person. Improper use includes, but are not limited to: Violating any applicable law or regulation; Posting or transmitting content you do not have the right to post or transmit Posting or transmitting content that infringes a third party’s trademark, patent trade secret, copyright, publicity, privacy or other right; Posting or transmitting content that is unlawful, untrue, stalking harassment, libelous, defamatory, abusive, tortious, threatening, obscene, hateful, harmful or otherwise objectionable as determined in our sole discretion; Attempting to intercept, collect or store data about third parties without their knowledge or consent; Deleting, tampering with or revising any material posted by any other person or entity; Accessing, tampering with or using non-public areas of the Service or any service/space during the member reservation, or related website, computer systems or network; Sending unsolicited messages, including without limitation, promotions or advertisement for products or services, “pyramid schemes”, “spam”, “chain mail”, or “junk mail” is prohibited, Using the services or any space, website or network to send altered, deceptive of false source-identifying information; Attempting to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of the Service of any Mid-Towne Works or attempting to damaging any Mid-Towne Works Space is considered a breach of the TUA; Interfering or attempting to interfere with the access of any user, host or network, including without limitation, sending a "virus" to the Service or any Mid-Towne Works or related website or network, overloading, "flooding," "spamming," "crashing," or "mail bombing" the Service for any Mid-Towne Works or related website or network is strictly prohibited; Impersonating or misrepresenting your affiliation with any person or entity is also prohibited; No installation, maintaining, or otherwise locating or accessing any computer server owned or operated by Mid-Towne Works shall be permitted outside this TUA agreement. Once the membership or reservation is terminated, the user shall no longer have access to the services without another reservation. Once services are terminated accessing any of the services of Mid-Towne Works through any means including but not limited to hacking, use of hardware or software shall be strictly prohibited and is considered theft of services which may result in legal action being taken against the offending person. If a member or non-member or guest of a member/non-member is suspected of violations of any of the above, Mid-Towne Works may investigate and may institute legal action, or may immediately deactivate service to any account without prior notice and cooperate with law enforcement authorities in bringing legal proceedings against said violators. In signing this TUA, you agree to reasonably cooperate with any investigation for suspected violations.  

Further the Member Expressly Agrees that you will: The Member expressly agrees to take good care of the accessible work spaces under the membership agreement and further agrees to maintain the reserved space in a clean manner and shall not intentionally damage the walls, doors, locks, fixtures, outlets, etc. and shall not allow the Member’s guest, client or customer to intentionally damage any of the walls, doors, locks, fixtures, outlets, etc. The Member expressly agrees that the terms of use agreement are subordinate to the Owners of Mid-Towne Works, LLC lease agreement for the building. The Member expressly agrees not to sublet a space to any person without the express written consent of the Owners of Mid-Towne Works. The Member expressly agrees that under a long-term reservation, the Monthly reservation automatically renews and shall be billed to the account on file with Mid-Towne Works. The Member expressly agrees to the automatic billing to the account for long-term reservations and shall ensure that funds are available to cover those costs. 5. Use of Image and Business Name, Address and Phone Number. Mid-Towne Works reserves the right at all times to use your image, logo, disclose information related to your business, for advertising purposes. Your participation in and use of the Services as Mid-Towne Works as a member shall be deemed sufficient consent as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Mid-Towne Works’ sole discretion related to your image and business name, address and phone number. 6. Confidentiality. You acknowledge and agree that during your participation in and use of the Space and Services you may be exposed to Confidential Information. “Confidential Information” shall mean all information, in whole or in part, that is disclosed by Mid-Towne Works, or any participant or user of the Space and Services or any employee, affiliate, or agent thereof, that is nonpublic, confidential or proprietary in nature. 

Confidential Information also includes, without limitation, information about business, sales, operations, know-how, trade secrets, technology, products, employees, customers, marketing plans, financial information, services, business affairs, any knowledge gained through examination or observation of or access to the facilities, computer systems and/or books and records of Mid-Towne Works, any analyses, compilations, studies or other documents prepared by Mid-Towne Works or otherwise derived in any manner from the Confidential Information and any information that you are obligated to keep confidential or know or has reason to know should be treated as confidential. Your participation in and/or use of the Space and Services obligates you to maintain all Confidential Information in strict confidence; not to disclose Confidential Information to any third parties; not to use the Confidential Information in any way directly or indirectly detrimental to Mid-Towne Works, or any participant or user of the Space and Services. All Confidential Information remains the sole and exclusive property of Mid-Towne Works or the respective disclosing party. You acknowledge and agree that nothing in this Terms of Use Agreement or your participation in or use of the Space and/or Services will be construed as granting any rights to you, by license or otherwise, in or to any Confidential Information or any patent, copyright or other intellectual property or proprietary rights of Mid-Towne Works, or any participant or user of the Space or Services.

  1. Payment. The Member agrees to pay their Membership and Reservation Fees as well as other amenities purchased including any associated taxes to Mid-Towne Works, LLC as a result of the market place services selected as additional amenities on behalf of Mid-Towne Works. During the Term of Use under the respective reservations of the Member, the Member shall pay all fees as required. Upon the signing of the Terms of Use Agreement, the Member is required to pay the following: The Membership Level fee associated with the membership selected Any Advertising or keyless entry key pad set up costs Any additional service charges as in the case of additional amenities such as catering Any applicable taxes There are no payment plans available for reservations, all reservations must be paid in full at the time of the making other than long term reservations shall begin on the first of the month and shall be billed each month on the first of the months thereafter during the term of the long-term reservation. 
There are no refunds or prorated portions of a reservation other than at the time of reservation on-line and under the terms identified herein this Terms of Use agreement for Long-term reservations. Cancellation. All fees and taxes are paid by members are non-refundable, except as expressly stated in this agreement. As a member you may cancel your reservation within 24 hours of making the reservation and prior to the starting date of the reservation and receive a refund. If you cancel after the start of your reservation, no refund is provided for the calendar month in which the reservation exists. In the event the reservation is made under a long-term reservation the other provisions of this Terms of use agreement including a penalty for ending the reservation early shall apply. **Long term reservations may include a built in 30% cancellation charge based on the balance of the reservation at the time of the cancellation. In the event the Member’s reservation is terminated for inappropriate, illegal conduct or any breach of the terms of Use Agreement; no refund of reservation fees shall be provided. In the event the member’s credit/debit card is declined, all member benefits and access will be immediately suspended until full payment is made. **8. Participation in or Use of Services. You acknowledge that you are participating in or using the Space and / or Services at your own free will, decision, and risk. You acknowledge that Mid-Towne Works does not have any liability with respect to your access, participation in, use of the Space and/or Services, injury, damage or any loss of information resulting from such participation or use. Must be over the age of 19 to access facilities beyond the atrium under a use of space agreement. Must be over the age of 18 and have a valid Driver’s license and valid student ID to access facilities under the College Student Membership as this is an hourly rate student member are billed for time of use. All Membership rates and fees including space reservation costs are pre-paid at the time of reservation.
  2. Disclaimer of Warranties. To the maximum extent permitted by applicable law, Mid-Towne Works provides the services “as is” and with all faults, and hereby disclaim with respect to the physical space and/or services all warranties and conditions, whether express, implied or statutory, including, but not limited to, any (if any) warranties, duties or conditions of or related to: merchantability, fitness for a particular purpose, lack of viruses, accuracy or completeness of responses, results, workmanlike effort and lack of negligence. Also, there is no warranty, duty or condition of title, quiet enjoyment, quiet possession, correspondence to description or non-infringement. The entire risk as to the quality or arising out of participation in or the use of the services, remains with you.
  3. Exclusion of Incidental, Consequential and Certain Other Damages. To the maximum extent permitted by applicable law, in no event shall Mid-Towne Works or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly or individually be liable for any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to, damages for: loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), negligence, and any other pecuniary or other loss whatsoever) arising out of or in any way related to the participation in or inability to participate in or use of the services, the provision of or failure to provide services, or otherwise under or in connection with any provision of this agreement, even in the event of the fault, tort (including negligence), strict liability, breach of contract or breach of warranty of Mid-Towne Works, and even if Mid-Towne Works has been advised of the possibility of such damages.
  4. Limitation of Liability and Remedies. Notwithstanding any damages that you might incur for any reason whatsoever (including, without limitation, all damages referenced above and all direct or general damages), the entire liability of Mid-Towne Works or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors, and assigns under any provision of this Terms of Use Agreement and your exclusive remedy for all of the foregoing shall be limited to actual damages incurred by you based upon a judgment of negligence, or upon a reasonable showing and reliance of loss without judgment, no more than the total sum of one hundred dollars (USD $100.00). The foregoing limitations, exclusions and disclaimers (including sections 8 and 9 above) shall apply to the maximum extent permitted by applicable law, even if any remedy fails its essential purpose.
  5. Termination of Reservation. Mid-Towne Works reserves the right to terminate any Space Reservation Agreement and/or Service at any time. Mid-Towne Works further reserves the right to terminate your participation in and use of any Space and/or Services, immediately and without notice, if you fail to comply with the Terms of Use Agreement, engage in any type of criminal conduct in the building or parking areas associated with the facility; or in the event you engage in disruptive behavior of any kind as determined by a staff member of Mid-Towne Works. In the event you violate any state or local law, violate the terms of use Agreement, and/or destroy or damage any physical property of Mid-Towne Works, you will be escorted from the property and all current and future access will be terminated immediately. In such cases, Mid-Towne Works shall not be liable in any way to a terminated member, and all reasonable legal relief against such conduct shall be taken to promote the safety of the members and staff. Voluntary termination of a Member Long-Term Reservation before the reserved termination date results in 30% early termination fee on the length of time remaining on the reservation; taxed to the member for early termination of the agreement. At the end of any reservation for shared office memberships, each member is individually responsible for all obligations and money due Mid-Towne Works for any and all add-on services arising from this TUA, any membership agreement or any balances due Mid-Towne works for advertising etc. Nothing in this Terms of Use Agreement shall create a lease hold interest or require the owners of Mid-Towne Works, LLC to evict any member from any space reserved. Failure to make payment for any reason shall result in automatic termination of the reservation immediately.
  6. Indemnification. You release, and hereby agree to indemnify, defend and hold harmless Mid-Towne Works, LLC and Mid-Towne Works’ subsidiaries (whether or not wholly-owned), affiliates, divisions, owners, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties based upon or arising out of your negligent actions, errors and omissions, willful misconduct and fraud in connection with the participation in or use of the Space and/or Services. You further agree in the event that you bring a claim or lawsuit in violation of this agreement, you shall be liable for any and all attorneys’ fees and costs incurred by Mid-Towne Works or its respective officers and agents in connection with the defense of such claim or lawsuit. You further agree to Arbitration prior to the filing of any legal action by an Arbitrator of the choosing of Mid-Towne Works and its staff. Each Member of a single business or user of the same office sharing reservation where two or more persons reserve the same private office/ meeting room or conference rooms space is jointly responsible for all the costs incurred under this agreement, and the member signature accepts, confirms and agrees to remain jointly responsible for all costs and expenses incurred under each reservation.
  7. Severability. In the event that any provision or portion of this Terms of Use Agreement is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this Terms of Use Agreement shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.
  8. Insurance. Mid-Towne Works will carry General Liability insurance. As a member-user, it is strongly suggested that you carry a “Renters Insurance policy” to cover your own equipment while using our space. That policy may cover your current residence/office, as well as the premises of Mid-Towne Works.
  9. Membership Level. You the Member have chosen your membership level for this term of use agreement. Your agreement to this TUA indicates you accept and agree to the terms of cost including any overage fees and that you further consent to being billed and having your account on file charged for any market place services selected as additional amenities.
  10. Add-On Package Agreements and Changes in Membership prior to renewal dates: All members may at any time add additional services to a membership package with Mid-Towne Works, provided costs and fees are paid for said changes and additions at the time of adding them. Membership levels may increase during the term of a membership reservation. In the event street level advertising is added to a member package, the monthly fee must be paid or the street level advertising will be removed. In any event when the member terminates or a membership is terminated, the street level advertising will be remove.
  11. Parking. All Parking at Mid-Towne Works is free and is a first-come, first-served basis except for handicapped, red fire zones and the reserved spaces provided for the Owners of Mid-Towne Works, LLC. All members assume complete and total liability for the parking space selected. Mid-Towne Works is not liable for any damage or items removed from cars while parked in the Mid-Towne Works, LLC parking spaces or adjacent lots. Handicapped spaces require a special permit for use, please leave these spaces open for those with disabilities and the proper vehicle parking permit.
  12. Keys, Access Codes, lock boxes, Street Level Advertising and Side Bar Ads. Any keys or entry codes, printer codes or internet passwords, which the member is given access, remain the property of the Owners of Mid-Towne Works, LLC at all times. A member shall not make any copies of them or allow anyone else to use them without the expressed written consent of the Owners of Mid-Towne Works, LLC. Any loss of keys, codes, or damage to a keyless entry lock box must be reported to the Owners of Mid-Towne Works, LLC immediately, and the member may be responsible for any replacement costs or changing the locks. Further, in the event the Member Damages a Key Pad Lock, the Member expressly agrees to be responsible for the costs of replacement and further consents to have those costs charged against the account on file under the members registration package. In the event the Member reserves long-term space and requests a keyless entry lock box, the member will be charged a one-time set up fee of $50.
  13. Mail and Packages. Mail and packages may be delivered to you under your Membership Reservation Package. Packages may be collected and stored by the Receptionist or placed in your mail slot for pick up by the registered Member. The postal services may be subject to additional federal, state and local requirements. No hazardous packages may be delivered to Mid-Towne Works through any mail service.   14. Membership Renewals. Mid-Towne Works and Members hereby agree to execute a new Terms of Use Agreement for each change in Membership Level and at the time the Member Renews A Membership Agreement with Mid-Towne Works. All Membership Fees and costs are subject to increase or decrease at the time of Membership renewals. All changes are at the sole discretion of Mid-Towne Works and its owner/directors of Mid-Towne Works. All fees and cost changes shall be identified in writing within the Terms of Use Agreement and become effective immediately upon signing by the parties.
  15. Legal Action/Collection. In the event legal action or collection actions are necessary, the member agrees that the proper venue for litigation of this matter is Mobile, Alabama. Further the member agrees to pay all costs of court filings, process of service costs, legal representation including attorney fees for Mid-Towne Works, further the member agrees to pay any interest on any outstanding fees and /or costs of reservations in the amount of 8.5% interest from the date of termination which pre-dates any judgment and further agrees to pay 9.5% interest per month on any judgment once entered. In the event legal action is initiated against a user/member, all costs shall be deemed to have accrued upon the commencement of such action and shall be paid whether or not such action is prosecuted to judgment or settled in some other dispute resolution format. In signing below the member affirms approval and acceptance of all the terms of the Terms of Use Agreement contained here-in.

  16. Suspension of Services. The Owners of Mid-Towne Works, LLC may by email, text, posting or U.S. mail provide notice and thereafter immediately suspended the provisions of services including access to the Space reserved for reasons of terrorism, acts of god, damage to the building or other events beyond the Owner’s reasonable control. The Owner may also suspend the provisions of services including access to the space, internet, etc. in the event the Space or the building is being renovated or repaired, in which event the owners shall make every attempt to relocate the member to another space within the building during such repairs and or renovations. Notice. All notices under this TUA, and the Member Agreement are as follows: Any written notice initiated by Mid-Towne Works to a member or by a Member to Mid-Towne Works not in electronic format shall be effective upon delivery by U.S. Post Office or forty-eight (48) hours after deposit in the U.S. Mail, postage prepaid, registered or certified mail, return receipt requested.  In the event electronic written notice is submitted, such notice shall be effective immediately upon being sent to the email of the member identified in the Member Registration package or to april@Mid-TowneWorks.com as the Manager of Mid-Towne Works.

  17. Terms/Definitions. Capitalized terms used herein and not otherwise defined in this Agreement shall have the meanings set forth in the common ordinary use of phrases as defined in a current version of Webster’s dictionary. No hearings shall be construed to have any specific separate meaning from the paragraph attached as the headings are for organization and identification purposes.

  18. Entire Agreement. This Agreement constitutes the entire agreement between Mid-Towne Works, LLC and the Member regarding the use of the Space and supersedes any prior agreements between the parties to this agreement related to the Member’s use of the space.

I hereby acknowledge that I have read and understood all of the terms and conditions contained in this Terms of Use Agreement and further agree to be bound to all the Terms of the Terms of Use Agreement contained herein regarding my participation in and use of the Mid-Towne Works Space and Services. By clicking agree on-line and making your first payment you affirmatively acknowledge and agree to comply with the terms of use agreement as set forth in this document.
